Yarnies541 Fiber Arts Social Club

BYLAWS 

ARTICLE I – NAME, REGION, AND PURPOSE

Section 1. The name of the club is YARNIES541

Section 2. The region of the club shall be the greater Lane County, Oregon, USA.

Section 3. The purpose of YARNIES541 is to cultivate a strong, inclusive craft community and promote the advancement of the fiber art hand crafts in the YARNIES541 region. Additionally, YARNIES541 will actively support local efforts toward equity and community care.

Section 4. Yarnies541 fiscal year is January through December. Records securely kept by board president.

ARTICLE II – MEMBERSHIP and MEMBER CONDUCT

Section 1. Yarnies541 has multiple tiers of participation. For bylaw purposes and identification, membership is referenced as “paid members” and “unpaid members”. When referencing both paid and unpaid members, a general “members” will be used.

  1. Any person interested in joining the YARNIES541 social club may attend monthly meetings, weekly meetups, or other public events put forth by YARNIES541, regardless of race, color, gender, national origin, sexual orientation, religion, age, or disability. For bylaws purposes, these members are identified as “unpaid members”. 
  2. Paid members have voting rights in club business, and receive paid member perks.

Section 2. YARNIES541 members (and any guests of members) are expected to treat each other with respect and refrain from oppressive behavior toward one another and while representing YARNIES541 in the community. Members refusing to act in accordance with above guidelines and mission of the club may be asked to cease participation with YARNIES541 club and events. In the event that a paid member is asked to cease participation, no membership refunds will be given. 

ARTICLE III – MEETINGS

Section 1. Regular YARNIES541 business meetings held by elected officers with members invited, will be held on the second OR third Sunday of the month at a location determined by members in advance and posted on the YARNIES541 calendar found on the club website. Regular business meetings will not be held during the months of June, July, or August. At any time when club business requires, the regular meeting may be held on a different day, to be determined by vote of elected officers. Such change of meeting shall be posted on YARNIES541 calendar found on website and sent out in a newsletter as well as posted on YARNIES541 Discord site. 

Section 2. The annual meeting of the YARNIES541 shall be held on the second or third Sunday of January unless determined by the board to be held on a different date. Any changes will be posted on the YARNIES541 calendar found on the club website and also posted on the YARNIES541 Discord site. This meeting shall be for the purpose of electing officers, consideration of reports, the transaction of any YARNIES541 business as well as forecasting the upcoming season of YARNIES541 interests and endeavors.

Section 3. Special meetings may be called at any time by the YARNIES541 club President on their own initiative and shall be called by the President upon written request of five YARNIES541 club members.

Section 4. At any meeting of the YARNIES541 the number of voting members needed for quorum is determined by no less than three elected Officers present.

ARTICLE IV – BOARD OF DIRECTORS

Section 1. The YARNIES541 Board of Directors shall consist of five elected Officers.

Section 2. The Officers of YARNIES541 shall be: President, Vice-President, Treasurer, Secretary, and Sergeant-at-Yarns.

Section 3. Officers shall be elected at January meetings of YARNIES541 to serve for at least 2 years and shall take office at the next regular monthly meeting following election (February). Beginning in 2027, officer elections are staggered with elections of Vice President/Treasurer occuring the first year and President/Secretary occuring the following year. 

Section 4. In the event that elected Officer seats go unfilled or are abruptly vacated, the remaining elected Officers and Sergeant-at-Yarns will split duties until positions are able to be filled. Alternatively, these positions may be filled by special election at a regular business meeting. 

Section 5. Officers must attend 6 of the 9 monthly business meetings in the calendar year. Should an elected officer not adhere to this expectation, they may be asked to vacate their position and a special election may be held to fill that position. In the event that an elected officer is unable to attend a business meeting in person, other arrangements (proxy, tele/video participation) MAY be allowed and will be up to the discretion of the board president. 

ARTICLE V – DUTIES OF OFFICERS

Section 1. The President shall:

A. Act as the representative head of YARNIES541.  

B. Preside at all meetings of YARNIES541. They may from time to time call special meetings of YARNIES541 for any purpose.  

C. Call a special meeting of YARNIES541 on the written/emailed request of five members.  

D. Have general control and management of YARNIES541 business and endeavors, subject however to these bylaws and to regulations and directions of member quorum. 

E. Deposit receipts in the name and to the credit of YARNIES541 in a financial institution to be designated by the organization, and submit all fiscal records to the Treasurer.

F. Pay all bills and obligations from the fund only upon written approval of the President and Secretary.

G. Have charge of all funds of YARNIES541. They shall receive all monetary donations of whatever source. 

Section 2. The Vice-President shall:

A. Assist the President in the absence or inability of the President and shall perform the duties of the President.

B. Attend all YARNIES541 business meetings and take minutes of the same in the absence of the Secretary.

C. Coordinate and oversee elections and member surveys as called/requested. 

Section 3. The Secretary shall:

A. Attend all YARNIES541 business meetings and keep minutes of the same. 

B. Perform all duties usually related to the office of Secretary and other such duties as may be from time to time requested by elected officers. 

Section 4.The Treasurer shall:

A. Keep all financial records of the club.

B. Prepare Yarnies541 budget.

C. Report the club accounts monthly to the executive committee/board of directors and at the monthly business meetings of YARNIES541. Fiscal records are securely kept by the Treasurer.

Section 5. The Sergeant-at-Yarns shall: 

A. Attend all monthly business meetings and whose presence and vote will constitute the five member executive committee. 

B. Be responsible for “special meetup” treats (birthdays, etc.). 

C. Act as member engagement officer and provide support/feedback/direction to any membership committee as necessary. 

ARTICLE VI – NOMINATIONS

Section 1. Nominations of Officers to be elected at the annual meeting shall be named from the floor at the annual meeting of YARNIES541.

Section 1. A nomination must be seconded by a member in attendance at the annual YARNIES541 business meeting. 

ARTICLE VII – VOTING

Section 1. All paid members in attendance at business meetings of YARNIES541 will have voting rights on matters brought to the club and needing member input or approval. Votes will be collected and counted during the annual business meeting. Voting is in-person. Virtual or proxy votes are up to the discretion of board president.  Election is determined by a majority vote.

Section 2. Any voting member personally benefiting financially from proposed donations or fiscal support from YARNIES541 must recuse themselves from voting in that instance. 

ARTICLE VIII – COMMITTEES

1. YARNIES541 shall have a standing executive committee consisting of Elected Officers. 

2. The YARNIES541 organization shall have the option of forming committees for programs, membership, nominations, newsletter, finances, and events.

3. The duties of the committees shall be as defined by the Board of Directors of the YARNIES541. 

ARTICLE IX – BYLAW AMENDMENTS

SECTION 1. These by-laws may be amended, repealed or altered in-part by a majority of those members present at a scheduled meeting that has a quorum. Notification of and amendments or alterations will be posted on the YARNIES541 discord site.

DISSOLUTION

Upon dissolution of Yarnies541, any assets will be distributed to charitable organizations based upon member vote at time of dissolution.
